Terms & Conditions

These terms govern your access to and use of the Payformers platform, including the website, mobile application, and all related services.

1.Introduction

1.1Acceptance of Terms

Welcome to Payformers.

These Terms and Conditions ("Terms") govern your access to and use of the Payformers platform, including its website, mobile application, and all related services (collectively, the "Platform").

By creating an account, clicking "Agree," accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, as may be amended from time to time.

You also consent to the use of electronic records, electronic communications, and electronic signatures in connection with your use of the Platform. Such electronic records and signatures shall have the same legal force and effect as handwritten signatures in accordance with the Electronic Commerce Act of 2000 (Republic Act No. 8792) and other applicable laws of the Republic of the Philippines.

If you do not agree with any provision of these Terms, you must not create an account, access, or use the Platform.

1.2About Payformers

Payformers is an online marketplace that connects Clients seeking entertainment services with independent Artists offering those services.

The Platform enables Clients to discover, request bookings, communicate with Artists after booking confirmation, securely pay for services, and manage bookings through a single platform. It also enables verified Artists to showcase their services, receive booking requests, manage schedules, communicate with Clients, and receive payouts for completed bookings.

Payformers operates solely as a technology platform that facilitates bookings, payments, communication, and related operational services. Unless expressly stated otherwise, Payformers is not a party to the service agreement entered into between a Client and an Artist and does not directly provide entertainment services.

As the Platform operator, Payformers is responsible for maintaining the Platform, administering Artist verification, facilitating secure payment processing through authorized payment partners, providing booking management tools, supporting communication through Booking Chat, assisting with disputes and customer support, and implementing reasonable measures to promote platform integrity, safety, and fraud prevention.

While Payformers takes reasonable steps to provide a safe and reliable marketplace, verification of an Artist does not constitute a guarantee, endorsement, certification, or warranty of an Artist's identity, qualifications, experience, professionalism, conduct, availability, quality of service, or future performance. Likewise, Payformers does not guarantee the conduct or actions of any Client.

Clients and Artists remain solely responsible for fulfilling their respective obligations under each confirmed booking and for complying with all applicable laws.

1.3Definitions

For purposes of these Terms:

Artist means a User who registers on the Platform to offer entertainment or performance-related services to Clients through Payformers.

Verified Artist means an Artist who has successfully completed Payformers' verification process and has been approved by Payformers to offer services through the Platform. Verification confirms only that the Artist satisfied Payformers' verification requirements at the time of approval and does not constitute a guarantee or warranty of the Artist's identity, qualifications, competence, conduct, safety, quality of service, or future performance.

Client means a registered User who requests and books Artists through the Platform.

Booking Request means a request submitted by a Client to an Artist for a specific event, date, time, and service package. A Booking Request does not constitute a confirmed booking.

Confirmed Booking means a booking that has been accepted by the Artist and for which the applicable payment requirements have been successfully completed through the Platform.

Booking Chat means the in-app messaging feature available only after a booking has been confirmed.

Service Package means a predefined service offering created by an Artist, including the Talent Fee, package inclusions, estimated performance duration, and any applicable service limitations.

Talent Fee means the amount established by an Artist for a selected Service Package before the addition of any applicable Booking Fee charged to the Client.

Booking Fee means the fee charged by Payformers to the Client for facilitating bookings and related Platform services.

Service Fee means the fee deducted by Payformers from an Artist's payout for the use of the Platform and related services.

Payout means the amount released by Payformers to an Artist after deducting the applicable Service Fee and after the booking has been completed in accordance with these Terms.

Payformers Operations Team means authorized Payformers personnel responsible for Artist verification, booking operations, customer support, payment assistance, fraud prevention, payout administration, and dispute resolution.

User means any registered Client or Artist using the Platform.

2.User Accounts

2.1Registration and Verification

To access and use the Platform, Users must create a Payformers account by providing accurate, complete, and current information during registration.

Registration requires a valid mobile number, email address, and password. Users must successfully complete the Platform's account verification process before accessing certain features of the Platform.

Users are responsible for ensuring that all information provided during registration remains accurate and up to date. Payformers may request additional information or documentation where reasonably necessary to verify a User's identity, prevent fraud, comply with applicable laws, or protect the integrity of the Platform.

Users must be at least eighteen (18) years of age to create an account and use the Platform. Individuals below eighteen (18) years of age may use the Platform only with the consent and supervision of a parent or legal guardian, who accepts full responsibility for the minor's use of the Platform and compliance with these Terms.

Artists must successfully complete Payformers' Artist Verification process before they may publish Service Packages, receive booking requests, or offer services through the Platform.

Verification requirements may include, but are not limited to, identity verification, submission of supporting documents, and any additional information reasonably required by Payformers.

Payformers reserves the right to approve, reject, suspend, or revoke an Artist's verification status where reasonably necessary to protect the Platform, its Users, or to comply with applicable laws and these Terms.

2.2Personal Information

Payformers collects, processes, stores, and protects Users' personal information in accordance with its Privacy Policy and applicable Philippine laws, including the Data Privacy Act of 2012 (Republic Act No. 10173).

By creating an account and using the Platform, Users acknowledge that the processing of their personal information is necessary to provide the Platform's services, including account management, booking administration, payment processing, fraud prevention, customer support, and compliance with legal obligations.

Users are responsible for ensuring that the personal information they provide remains accurate and up to date throughout their use of the Platform.

2.3Account Security

Users are solely responsible for maintaining the confidentiality of their account credentials, including their password, one-time passwords (OTP), and any other authentication methods used to access the Platform.

Users are responsible for all activities conducted through their account unless they promptly notify Payformers of unauthorized access and cooperate in any resulting investigation.

If a User suspects unauthorized access, account compromise, or any security breach, the User must immediately notify the Payformers Operations Team through the Platform or other official support channels.

Payformers shall not be liable for losses resulting from a User's failure to safeguard account credentials.

2.4Suspension and Termination

Payformers may suspend, restrict, or terminate a User's account where reasonably necessary to:

  • protect the Platform or its Users;
  • investigate suspected fraud or unlawful activity;
  • enforce these Terms;
  • comply with applicable laws or lawful government requests; or
  • protect the integrity, security, or reputation of the Platform.

Certain violations may result in immediate suspension where expressly provided in these Terms.

For example, an Artist who cancels a confirmed booking without an approved exception may be suspended in accordance with Section 4 (Cancellations and Refunds).

Where these Terms provide a right to appeal, the affected User may submit an appeal together with supporting information for review by the Payformers Operations Team.

Unless otherwise stated in these Terms, any suspension shall remain in effect while the appeal is under review.

Payformers may lift, shorten, or modify a suspension after reviewing the available information and determining that continued suspension is no longer reasonably necessary.

Payformers may permanently terminate a User's account for serious or repeated violations of these Terms, fraudulent or unlawful activities, abuse of the Platform, or where continued access presents a material risk to other Users or the Platform.

Termination or suspension shall not affect any rights or obligations that accrued before the effective date of the suspension or termination, including the settlement of any undisputed payments lawfully due, subject to ongoing investigations, legal requirements, or applicable law.

Users may request permanent closure of their account at any time, provided there are no outstanding bookings, pending payments, disputes, investigations, or other legal obligations requiring the account to remain active.

2.5Account Transfer

Each Payformers account is personal to the registered User.

Users must not sell, assign, transfer, sublicense, lend, share, or otherwise allow another person or entity to use their account.

Users remain fully responsible for all activities conducted through their account.

Any unauthorized transfer, sharing, or misuse of an account constitutes a material violation of these Terms and may result in immediate suspension or permanent termination of the account.

2.6Fraud Investigations

To protect the Platform and its Users, Payformers may investigate suspected fraud, identity theft, payment abuse, fake bookings, fake reviews, off-platform transactions, account misuse, or any other violation of these Terms.

Where reasonably necessary, Payformers may:

  • temporarily suspend or restrict an account;
  • delay payouts or refunds;
  • request additional identity verification or supporting documents;
  • temporarily withhold access to certain Platform features;
  • cancel suspicious bookings; or
  • take any other reasonable action necessary to protect the Platform, its Users, or comply with applicable law.

These measures shall remain in effect only for as long as reasonably necessary to complete the investigation.

Users agree to cooperate with reasonable requests for information during any investigation.

Providing false information, submitting fraudulent documents, creating fake accounts, abusing payment systems, or intentionally attempting to circumvent the Platform may result in permanent account termination and, where appropriate, referral to the relevant authorities.

3.Using the Platform

3.1Clients

Clients may use the Platform to:

  • Search for Verified Artists;
  • Browse Artist profiles and Service Packages;
  • Submit booking requests to Artists;
  • Make payments through supported payment methods;
  • Communicate with Artists through Booking Chat after a booking has been confirmed;
  • View and manage bookings through the Platform; and
  • Submit reviews and ratings for completed bookings.

Clients are responsible for providing accurate and complete booking information, including the event date, time, location, event type, and any special requests.

Clients are responsible for reviewing all booking details before submitting a booking request.

3.2Artists

Only Verified Artists may publish Service Packages and receive booking requests through the Platform.

Artists provide services as independent contractors and are not employees, agents, representatives, partners, or joint venturers of Payformers. Nothing in these Terms creates an employment, agency, partnership, franchise, or joint venture relationship between Payformers and any Artist.

Artists are solely responsible for complying with all applicable tax laws, business registrations, permits, licenses, and other legal obligations relating to the services they provide through the Platform.

Artists are responsible for maintaining accurate and up-to-date information, including:

  • Profile information;
  • Service Packages;
  • Talent Fees;
  • Availability;
  • Event categories;
  • Portfolio content; and
  • Any other information displayed on the Platform.

Artists are expected to respond to booking requests promptly and to fulfill all confirmed bookings professionally and in accordance with the selected Service Package.

3.3Booking Requests

Clients may submit booking requests to available Verified Artists through the Platform.

A booking request shall include the event details selected by the Client, including the event date, event time, venue, selected Service Package, and any special requests.

Submission of a booking request does not create a confirmed booking.

Upon receiving a booking request, the Artist may either:

  • Accept the booking request; or
  • Decline the booking request.

If the Artist declines the booking request, the Client shall be notified through the Platform and the booking request shall be closed.

If the Artist accepts the booking request, the booking shall move to the Awaiting Payment status and the Client shall be given twenty-four (24) hours to complete the required payment.

If payment is not successfully received within the twenty-four (24) hour payment period, the booking request shall automatically expire and move to the Cancelled status.

Acceptance of a booking request does not guarantee a confirmed booking until the applicable payment requirements have been successfully completed.

3.4Payments

Clients shall pay the amount displayed during checkout, including the applicable Talent Fee and Booking Fee.

For bookings scheduled more than seven (7) calendar days before the event date, Clients may choose to either:

  • Pay a twenty-five percent (25%) booking deposit; or
  • Pay the full booking amount.

For bookings scheduled within seven (7) calendar days of the event date, full payment is required.

Where a Client selects the twenty-five percent (25%) booking deposit option, the remaining balance must be paid no later than seven (7) calendar days before the scheduled event.

Failure to pay the remaining balance by the required payment deadline shall result in automatic cancellation of the booking in accordance with Section 4 of these Terms.

A booking shall move to the Upcoming status only after all required payments have been successfully received.

All payments shall be processed through Payformers' authorized payment partners.

Clients agree not to make payments directly to an Artist for bookings initiated through the Platform unless expressly authorized by Payformers.

3.5Payouts

Upon completion of a booking, Payformers shall release the Artist's Payout using the payout method registered by the Artist.

The Artist's Payout shall consist of the applicable Talent Fee less the applicable Service Fee and any other authorized deductions disclosed by the Platform.

Clients may mark a booking as completed after the scheduled event through the Platform.

If a Client does not mark the booking as completed or report a booking-related issue within twenty-four (24) hours after the scheduled event, Payformers may automatically mark the booking as completed and proceed with the payout release.

Payformers may temporarily delay or withhold a payout where reasonably necessary to investigate suspected fraud, payment disputes, reported booking issues, violations of these Terms, or where required by applicable law.

3.6Booking Chat

Booking Chat becomes available only after a booking has been confirmed.

Booking Chat is intended solely for communication relating to a confirmed booking.

To promote user safety, reduce fraud, and protect the integrity of the Platform, Booking Chat may restrict or prevent the transmission of certain content, including:

  • External website links;
  • Email addresses;
  • Phone numbers;
  • Social media usernames;
  • QR codes; and
  • Other contact information intended to facilitate communication or transactions outside the Platform.

Users must not use Booking Chat for unlawful, fraudulent, abusive, threatening, harassing, discriminatory, or otherwise inappropriate communications.

Booking Chat shall remain available until forty-eight (48) hours after the scheduled event.

After this period, conversations shall become read-only. Users may continue viewing previous messages but may no longer send new messages.

Payformers does not routinely monitor private Booking Chat conversations. Access to Booking Chat content shall be limited to circumstances where reasonably necessary to:

  • investigate a reported dispute;
  • investigate suspected fraud;
  • investigate violations of these Terms; or
  • comply with applicable law or a lawful order from a court or government authority.

3.7Chargebacks

If a Client initiates a chargeback, payment reversal, or payment dispute relating to a booking, Payformers may:

  • investigate the transaction;
  • suspend or restrict the Client's account;
  • temporarily withhold payouts relating to the affected booking;
  • recover losses where permitted by applicable law; and
  • cooperate with payment providers and financial institutions in resolving the dispute.

Fraudulent or abusive chargebacks may result in account suspension or permanent termination.

4.Cancellations, Refunds, Disputes, and Completion

4.1Client-Initiated Cancellations

Clients may cancel a booking through the Platform before the scheduled event.

The consequences of cancellation depend on the current status of the booking.

  • Booking Request Pending Artist Response

A Client may withdraw a booking request at any time before the Artist accepts the request.

No payment shall be required, and the booking request shall be closed.

B. Awaiting Payment

If the Artist has accepted the booking request but the Client has not yet completed the required payment, the Client may cancel the booking without further obligation.

If the Client fails to complete payment within the twenty-four (24) hour payment period, the booking shall automatically expire in accordance with Section 4.2.

C. Confirmed Bookings

Once a booking has been confirmed through successful payment, the following cancellation rules shall apply:

  • Any twenty-five percent (25%) booking deposit already paid shall be non-refundable.
  • If the Client has already paid the booking in full and cancels within seven (7) calendar days before the scheduled event, the payment shall be non-refundable.
  • Any refund approved under these Terms shall be processed in accordance with Payformers' refund procedures.

Non-refundable amounts represent compensation for reserving the Artist's availability and for services provided by Payformers in processing and administering the booking.

4.2Booking Expiration

If an Artist accepts a booking request, the Client shall have twenty-four (24) hours to complete the required payment.

If payment is not successfully received within this period:

  • the booking request shall automatically expire;
  • the booking status shall change to Cancelled;
  • the Artist shall no longer be obligated to reserve the requested schedule; and
  • the Client must submit a new booking request if they wish to proceed.

No booking shall be considered confirmed until the applicable payment requirements have been successfully completed.

4.3Automatic Cancellation for Unpaid Balance

Where a Client has confirmed a booking by paying a twenty-five percent (25%) booking deposit, the remaining balance must be paid no later than seven (7) calendar days before the scheduled event.

Failure to pay the remaining balance by the required payment deadline shall result in automatic cancellation of the booking.

In such cases:

  • the twenty-five percent (25%) booking deposit shall remain non-refundable;
  • the Client shall not be liable for the unpaid balance after cancellation; and
  • the Artist shall be released from any obligation to perform the cancelled booking.

The non-refundable booking deposit represents consideration for reserving the Artist's availability and for the services provided by Payformers in administering the booking.

4.4Artist-Initiated Cancellations

Artists are expected to honor every confirmed booking they accept through the Platform.

If an Artist becomes unable to fulfill a confirmed booking, the Artist must immediately notify the Payformers Operations Team through the Platform or other designated support channels.

Before cancelling a confirmed booking, the Platform shall display a warning informing the Artist that cancellation may result in suspension of the Artist's account.

If the Artist proceeds with the cancellation:

  • the booking shall be cancelled;
  • the Client shall be notified immediately;
  • Payformers may assist the Client in locating another available Verified Artist; and
  • Payformers may process any applicable refund in accordance with these Terms.

Unless Payformers determines that exceptional circumstances apply, the Artist's account may be suspended for one (1) month.

During the suspension period, the Artist may be restricted from:

  • receiving new booking requests;
  • appearing in search results;
  • accepting bookings; or
  • accessing Artist features designated by Payformers.

Where an Artist believes the cancellation resulted from circumstances beyond the Artist's reasonable control, the Artist may submit an appeal together with supporting evidence.

Payformers shall review the available information in good faith and may lift, shorten, or modify the suspension where justified.

Repeated cancellations may result in longer suspensions or permanent removal from the Platform.

Nothing in this Section limits any rights or remedies available under applicable law.

4.5Booking Completion

After the scheduled event, the Client may mark the booking as completed through the Platform.

If the Client does not mark the booking as completed or report a booking-related issue within twenty-four (24) hours after the scheduled event, Payformers may automatically mark the booking as completed.

Once a booking has been completed:

  • the booking status shall change to Completed;
  • the Artist's payout may be released in accordance with these Terms; and
  • the Client may become eligible to submit a review and rating.

Booking completion does not prevent either party from exercising any rights available under applicable law.

4.6Refunds

Approved refunds shall be processed using the original payment method whenever reasonably practicable.

Refund processing times may vary depending on the payment provider, financial institution, or payment method used.

Platform service fees or other non-refundable charges may be excluded from refunds where permitted by applicable law and disclosed during the booking process.

4.7Force Majeure

Neither the Client, the Artist, nor Payformers shall be liable for any delay or failure to perform obligations under these Terms where such delay or failure results from events beyond their reasonable control, including but not

limited to:

  • natural disasters;
  • severe weather;
  • fires;
  • floods;
  • earthquakes;
  • government actions or restrictions;
  • public health emergencies;
  • war;
  • civil unrest;
  • labor disputes; or
  • other similar events.

A party requesting relief under this Section must notify the other party as soon as reasonably practicable and provide reasonable supporting information where requested.

Payformers may assist the parties in determining an appropriate resolution but does not guarantee any particular outcome.

4.8Disputes

Users may report disputes relating to bookings, payments, cancellations, service quality, refunds, or other Platform-related matters through the Payformers Operations Team.

Both Clients and Artists agree to cooperate in good faith by providing information and supporting documentation reasonably requested by Payformers.

Payformers may facilitate communication between the parties and assist in resolving disputes in accordance with these Terms and its internal policies.

Where a dispute cannot be resolved through the Platform, the parties retain any rights and remedies available under applicable Philippine law.

5.Platform Rules

5.1User Responsibilities

All Users agree to use the Platform responsibly, honestly, and in accordance with these Terms and all applicable laws.

Users agree to:

  • Provide accurate, complete, and up-to-date information when creating and maintaining their account;
  • Maintain the confidentiality of their account credentials;
  • Use the Platform only for lawful purposes;
  • Respect other Users and communicate professionally through the Platform;
  • Comply with all booking obligations they accept through the Platform;
  • Promptly report unauthorized account access, suspected fraud, security incidents, or violations of these Terms; and
  • Cooperate with Payformers during investigations relating to bookings, payments, disputes, or suspected violations of these Terms.

Users remain solely responsible for all activities conducted through their account.

5.2Prohibited Conduct

To protect the integrity of the Platform, Users must not engage in any activity that is unlawful, fraudulent, misleading, abusive, or intended to circumvent the Platform.

Without limitation, Users must not:

  • Provide false, misleading, or fraudulent information;
  • Create multiple accounts to avoid restrictions or disciplinary actions;
  • Impersonate another individual or organization;
  • Use another person's account without authorization;
  • Submit fake booking requests or fraudulent bookings;
  • Manipulate booking records or payment transactions;
  • Submit false payment confirmations or fraudulent chargebacks;
  • Submit false reports or disputes;
  • Create, purchase, or use fake reviews or ratings;
  • Solicit or accept fake bookings intended solely to improve rankings, badges, or reviews;
  • Interfere with or disrupt the operation, security, or functionality of the Platform;
  • Upload viruses, malware, or other harmful software;
  • Attempt to gain unauthorized access to any part of the Platform;
  • Reverse engineer, copy, scrape, or exploit the Platform or its data without written authorization;
  • Infringe upon the intellectual property rights of Payformers or any third party;
  • Harass, threaten, discriminate against, intimidate, or abuse another User;
  • Use Booking Chat for unlawful, fraudulent, or inappropriate communications;
  • Attempt to share external website links, email addresses, phone numbers, social media accounts, QR codes, payment details, or other contact information for the purpose of bypassing the Platform; or
  • Engage in any activity that violates these Terms or applicable law.

Payformers may investigate suspected violations and may suspend, restrict, or permanently terminate accounts involved in prohibited conduct.

5.3Off-Platform Transactions

Payformers invests significant resources in connecting Clients and Artists, maintaining the Platform, processing payments, and providing customer support.

Accordingly, Users agree not to use information obtained through the Platform to arrange, negotiate, accept, or complete bookings outside Payformers for the purpose of avoiding applicable Platform fees.

Users must not encourage, request, or pressure another User to:

  • cancel an existing booking and complete it outside the Platform;
  • make direct payments outside Payformers for bookings initiated through the Platform;
  • exchange contact information for the purpose of avoiding Platform fees; or
  • otherwise circumvent the Platform's booking and payment processes.

Nothing in this Section prevents Users from communicating through Booking Chat regarding legitimate details necessary to complete a confirmed booking.

Violation of this Section may result in suspension, cancellation of bookings, withholding of payouts where permitted by law, or permanent removal from the Platform.

5.4Reviews and Ratings

Clients may submit reviews and ratings only for bookings that have been successfully completed through the Platform.

Each completed booking may be reviewed only once through the review feature provided by Payformers.

Reviews must accurately reflect the Client's genuine experience.

Reviews must not contain:

  • false or misleading information;
  • fabricated experiences;
  • unlawful content;
  • defamatory statements;
  • threats or harassment;
  • discriminatory or hateful content;
  • obscene or offensive material; or
  • content that infringes another person's rights.

Negative reviews or low ratings based on a genuine experience shall not, by themselves, constitute a violation of these Terms and shall not be removed solely because they are unfavorable to an Artist.

Payformers may review reported reviews and may remove or restrict reviews that violate these Terms or applicable law.

5.5User Content

Users retain ownership of the photographs, videos, profile information, portfolios, reviews, biographies, and other content they upload to the Platform.

By uploading content, Users grant Payformers a non-exclusive, worldwide, royalty-free license to host, reproduce, display, distribute, and use such content solely for the purpose of:

  • operating the Platform;
  • displaying Artist profiles;
  • promoting the Platform;
  • improving Platform services; and
  • providing related booking services.

Users represent and warrant that they own, control, or otherwise possess all rights necessary to upload such content.

Users remain solely responsible for all content they publish.

Payformers reserves the right to remove or restrict access to content that:

  • violates these Terms;
  • infringes intellectual property rights;
  • contains unlawful material;
  • contains harmful or offensive content;
  • promotes fraud or illegal activity; or
  • otherwise presents a risk to the Platform or its Users.

Removal of content does not necessarily result in account suspension, although repeated or serious violations may lead to disciplinary action.

5.6Platform Integrity

To maintain a fair and trusted marketplace, Payformers may implement systems designed to promote reliability, transparency, and quality across the Platform.

These systems may include, among others:

  • Verified Artist status;
  • Artist badges and achievement programs;
  • Client reviews and ratings;
  • Search result rankings;
  • Featured Artist placements;
  • Fraud detection systems;
  • Identity verification processes; and
  • Other quality assurance measures introduced by Payformers from time to time.

Users acknowledge that Payformers may modify or discontinue these programs and features at its discretion to improve the Platform or protect its integrity.

Users must not attempt to manipulate, exploit, or interfere with these systems.

6.Legal Terms

6.1Intellectual Property

The Platform, including its software, source code, user interface, design, graphics, logos, trademarks, service marks, text, databases, audio, video, documentation, and all other proprietary materials made available through the Platform (collectively, the "Platform Content") are owned by or licensed to Payformers and are protected by applicable intellectual property laws of the Republic of the Philippines and international treaties.

Except as expressly permitted by Payformers or applicable law, Users may not:

  • copy;
  • reproduce;
  • modify;
  • distribute;
  • publish;
  • transmit;
  • reverse engineer;
  • decompile;
  • create derivative works from; or
  • otherwise exploit any portion of the Platform or Platform Content without the prior written consent of Payformers.

Nothing in these Terms transfers ownership of any intellectual property rights from Payformers to any User.

6.2Disclaimer

The Platform is provided on an "as is" and "as available" basis.

While Payformers strives to operate a secure, reliable, and high-quality marketplace, Payformers does not guarantee that:

  • the Platform will always be available, uninterrupted, secure, or error-free;
  • every Artist or Client will satisfy another User's expectations;
  • every booking request will result in a confirmed booking;
  • every confirmed booking will proceed without unforeseen circumstances; or
  • the Platform will always operate without technical interruptions or delays.

Payformers may temporarily suspend or interrupt the Platform for scheduled maintenance, software updates, security improvements, emergency maintenance, or other operational reasons.

Certain Platform features rely upon independent third-party service providers, including payment processors, cloud hosting providers, communication providers, mapping services, notification services, identity verification providers, and other technology partners.

Payformers is not responsible for interruptions, failures, or delays caused by third-party services beyond its reasonable control.

Verification of an Artist confirms only that the Artist satisfied Payformers' verification requirements at the time of approval.

Verification does not constitute a guarantee, endorsement, certification, or warranty regarding an Artist's identity, qualifications, experience, professionalism, conduct, safety, quality of service, or future performance.

Similarly, Payformers does not guarantee the conduct, reliability, or actions of Clients using the Platform.

Payformers exercises reasonable care in operating the Platform, facilitating bookings, processing payments, administering verification, supporting communications, and providing customer support.

However, Payformers is not a party to the service agreement entered into between Clients and Artists and is not responsible for the performance, legality, quality, safety, or outcome of services provided by independent Artists, except where liability arises from Payformers' own negligence, willful misconduct, or where otherwise required by applicable law.

Nothing in this Section limits any responsibility that cannot lawfully be excluded under Philippine law.

6.3Limitation of Liability

To the fullest extent permitted by applicable law, Payformers shall not be liable for any indirect, incidental, consequential, exemplary, special, or punitive damages arising from or relating to:

  • use of the Platform;
  • inability to access or use the Platform;
  • cancelled bookings;
  • lost profits;
  • lost business opportunities;
  • loss of goodwill;
  • loss of data; or
  • acts or omissions of other Users.

Payformers shall not be liable for any breach of obligations committed by independent Clients or Artists except to the extent such liability arises directly from Payformers' own negligence, willful misconduct, or any liability that cannot legally be excluded under Philippine law.

Where applicable law limits the exclusion of liability, Payformers' liability shall be limited to the maximum extent permitted by law.

Nothing in these Terms excludes or limits any legal rights that cannot lawfully be excluded under Philippine law.

6.4Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any dispute arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the appropriate courts of the Republic of the Philippines, unless otherwise required by applicable law.

Before commencing legal proceedings, the parties are encouraged to make reasonable efforts to resolve disputes through good-faith communication with the Payformers Operations Team.

Nothing in this Section prevents either party from seeking interim or injunctive relief where permitted by law.

6.5Changes to these Terms

Payformers may amend, modify, or update these Terms from time to time to reflect changes in:

  • Platform features;
  • business operations;
  • applicable laws;
  • payment systems;
  • security requirements; or
  • other operational or legal considerations.

Where required by applicable law, Users will be notified of material changes through the Platform, email, or other appropriate communication channels before such changes become effective.

Continued access to or use of the Platform after the effective date of revised Terms constitutes acceptance of the updated Terms.

If a User does not agree with the revised Terms, the User must discontinue use of the Platform.

Questions, concerns, requests, complaints, or legal notices relating to these Terms may be directed to the Payformers Operations Team through the official contact channels published on the Platform.

For legal, regulatory, or privacy-related matters, Users may contact Payformers using the contact information provided on the Platform or through any other official communication channels designated by Payformers.

Payformers will make reasonable efforts to respond to inquiries within a reasonable period, although response times may vary depending on the nature and complexity of the request.
